What this agreement covers
This is a service agreement between Stroder Web Services ("SWS") and the client named above. It covers the design and development of a website based on the package and add-ons selected. Anything not explicitly listed in the selected package is not included.
Payment terms
- Upfront: a 50% non-refundable deposit is required before work begins; the remaining 50% is due before the site goes live.
- Pay-as-you-go (PAYG): instead of paying the build upfront, you may finance it over 12 monthly payments (the build price divided by 12, added to your monthly plan, same total, no markup). You take ownership of the site files when the build is paid in full — at month 12, or via an early lump-sum pay-off.
- Every client is on a monthly plan (hosting at minimum) from launch, since a live site requires hosting. Monthly fees are billed separately from the build.
- All payments are processed through Stripe.
Timeline
- Starter: 5-7 business days
- Standard: 10-14 business days
- Premium: 14-21 business days
- Rush Build add-on ($500): 7-business-day turnaround. If SWS misses the 7-business-day target for reasons not caused by client delays, the Rush fee is refunded in full.
- Timelines begin after intake form is received and deposit is paid. Client delays do not count against SWS.
Revisions
- Starter: 2 revision rounds included. Standard and Premium: 3 rounds.
- All changes for each round must be submitted at once.
- Revisions completed within 48-72 business hours.
- Additional rounds: $75/round or $50/hour.
- Major scope changes are quoted separately.
Client responsibilities
- Provide all content (text, images, logos) in a timely manner.
- Respond to questions and reviews within 5 business days.
- Designate one point of contact for all communication.
- Ensure all provided content is accurate and legally usable.
Ownership and rights
- Before final payment: SWS retains full ownership of all work.
- After final payment: Client owns the completed website files.
- SWS retains portfolio rights unless the client requests otherwise in writing.
Hosting
- Monthly hosting is required for the site to remain live.
- Hosting may be cancelled with 30 days' written notice, followed by a 30-day grace period during which the site stays live.
- For a fully-paid build (upfront, or a completed PAYG term), SWS will export and provide your website files on request, at no charge, anytime before the grace period ends.
- For a PAYG build cancelled before it is paid in full, the site files stay with SWS until the build is paid off, per our Refund & Cancellation Policy.
Cancellation
- The deposit is non-refundable when the client cancels. Work completed before cancellation is billed hourly ($50/hour); if that total is less than your deposit, the difference is refunded, and if it exceeds the deposit, you are invoiced for the difference.
- If SWS cancels for a reason not caused by the client, the full deposit and any additional payments are refunded.
- PAYG cancellation: you may cancel any month with no exit fees; after a 30-day grace period the site goes offline, and if cancelled before month 12 the source files stay with SWS while you keep all payments made to that point. Full details are in our Refund & Cancellation Policy.
Unresponsive client
- 30+ days unresponsive: project is archived after final notice.
- Archived projects can be reactivated for a $150 restart fee.
- 90+ days from archive date: project is permanently abandoned. No refunds.
Liability
SWS is not liable for client-provided content, loss of business or revenue, or indirect damages. Total liability shall not exceed the total amount paid for the project.
Warranty
- 30-day warranty after launch covering bugs and functional issues.
- After warranty: fixes handled via Web Handyman Retainer ($150/mo) or $50/hour.
30-day performance commitments (switcher builds)
For clients migrating from an existing platform (Wix, Squarespace, Shopify, Webflow, GoDaddy, etc.), SWS commits to the following measurable outcomes by day 30 after launch:
Technical promises (SWS-controlled):
- Lighthouse Performance 90+ on mobile and desktop (pagespeed.web.dev).
- LocalBusiness schema on every page, validating clean at search.google.com/test/rich-results.
- Every phone number is mobile-tappable (tel: link), verified on a real phone.
- Contact form delivers in 60 seconds, 99.9% uptime on the forms relay.
- 301 redirects from every old URL live the moment DNS flips.
Active-management promises:
- Google indexing within 7 days. SWS pushes IndexNow + GSC sitemap on launch.
- 30-day overlap window: client maintains the old platform for 30 days as a safety net.
- Daily ranking monitoring for the first 7 days. Same-day investigation if a position-3-or-better keyword drops 5+ positions for 48 consecutive hours.
Remedy for missed technical promises (1, 2, 3, 4, 5): SWS will either (a) fix within 7 calendar days at no additional cost, or (b) refund 25% of that month's hosting fee at the client's choice. These are the exclusive remedies; this does not entitle the client to refund of the build fee or any consequential damages.
Limits on active-management promises (6, 7, 8): Google determines what to do with new sites; SWS does every part it controls. Client's old platform stays live only as long as client maintains the subscription.
Exceptions: Technical promises assume reasonable inputs. If client provides 4MB+ unoptimized photos and refuses compression, the Lighthouse 90+ promise is suspended on pages containing those images. Content delays past intake timeline pause the day-30 clock proportionally.
This section applies only to clients on the Switcher Bundle. New-site builds without a prior platform are covered by the standard Warranty section only.
Intellectual property
All third-party assets (stock photos, fonts, icons) will be properly licensed. Premium asset costs will be approved by the client before purchase. SWS does not claim ownership of the client's existing branding.
Confidentiality
Both parties agree to keep each other's business information confidential, including login credentials, financials, customer data, and proprietary information. This obligation survives the end of this agreement.
Dispute resolution
Both parties agree to resolve disputes through direct communication first, then mediation in Oklahoma County, Oklahoma. This agreement is governed by the laws of the State of Oklahoma.
Modifications
This agreement can only be modified in writing with both parties' consent. Verbal agreements and informal messages do not constitute modifications.
